Terms of Service
Effective date: [EFFECTIVE DATE]
Last updated: [DATE]
These Terms of Service ("Terms") govern your access to and use of the website at [WEBSITE URL] and the demo-request form (together, the "Site"), operated by [LEGAL ENTITY NAME] ("Xuroe," "we," "us," or "our"). By using the Site or submitting a demo request, you agree to these Terms. If you do not agree, do not use the Site.
Note on scope: These Terms cover the marketing website and demo request. Your use of the Xuroe platform/product as a paying customer is governed by a separate
[MASTER SERVICES AGREEMENT / CUSTOMER TERMS], which will take precedence for that relationship.
1. Eligibility
You must be at least [18] years old and able to form a binding contract to use the Site. By using it, you represent that you meet these requirements and that any information you provide is accurate.
2. The Site and demo requests
The Site provides information about Xuroe and lets you request a demo. Submitting the form does not create any contract or obligation for us to provide services; it is a request for us to contact you. We may decline any demo request at our discretion.
Information on the Site (including pricing, features, and timelines such as setup estimates) is provided for general information, may change, and does not constitute a binding offer.
3. Acceptable use
You agree not to: - use the Site for any unlawful, fraudulent, or harmful purpose; - submit false, misleading, or another person's information without authorization; - attempt to gain unauthorized access to the Site, its function endpoints, or related systems; - interfere with or disrupt the Site (including via automated abuse, spam, or excessive requests); - scrape, harvest, or collect data from the Site except as permitted by law; or - introduce malware or attempt to probe, scan, or test the vulnerability of our systems.
4. Prohibited data and regulated-industry use
This is important. Do not submit, and do not use Xuroe to process, the following unless we have expressly agreed in a separate written agreement:
- Protected Health Information (PHI) or any health data regulated under the U.S. Health Insurance Portability and Accountability Act (HIPAA) or equivalent laws;
- data subject to other special regulatory regimes (for example, information regulated as "special category" data under GDPR/UK GDPR, financial-account data subject to PCI-DSS beyond ordinary payment processing, or data regulated by sector-specific laws) except as expressly supported and agreed.
Xuroe is a general booking and business-management platform and is not, by default, offered as a HIPAA-compliant service or a system of record for regulated health information. We do not enter into Business Associate Agreements (BAAs) except where expressly agreed in writing. If you require handling of PHI or other regulated data, contact us before using the service so we can determine whether a suitable arrangement is possible. You are responsible for ensuring your use of Xuroe complies with all laws applicable to your business and your data.
Lawyer to review this clause carefully — it is intended to reduce your exposure to inadvertent "business associate" status and similar regulatory risk, but the exact wording and its effectiveness should be confirmed by counsel.
5. Intellectual property
The Site and its content (text, graphics, logos, design, and software, including the "Xuroe" name and branding) are owned by us or our licensors and are protected by intellectual-property laws. You may not copy, reproduce, modify, distribute, or create derivative works from the Site without our prior written permission, except as permitted by law.
6. Third-party links and services
The Site may reference or link to third-party websites or services. We are not responsible for the content, policies, or practices of third parties. Your dealings with them are solely between you and the third party.
7. Disclaimers
The Site is provided "as is" and "as available," without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, secure, or that information on it is accurate or current. [Some jurisdictions do not allow certain warranty exclusions; this clause applies to the extent permitted by law.]
8. Limitation of liability
To the maximum extent permitted by law, [LEGAL ENTITY NAME] and its officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total aggregate liability arising from or related to the Site will not exceed [e.g. USD $100 / the amount you paid us in the past 12 months, if any].
[Confirm with counsel — consumer-protection laws in some jurisdictions limit how far liability can be excluded.]
9. Indemnification
You agree to indemnify and hold harmless [LEGAL ENTITY NAME] from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your misuse of the Site or breach of these Terms.
10. Privacy
Your use of the Site is also governed by our Privacy Policy at [PRIVACY POLICY URL], which explains how we handle personal data.
11. Changes to these Terms
We may update these Terms from time to time. Changes take effect when posted, with the "Last updated" date revised. Your continued use of the Site after changes means you accept the updated Terms.
12. Governing law and disputes
These Terms are governed by the laws of [GOVERNING LAW — e.g. Turks and Caicos Islands], without regard to conflict-of-laws principles. You agree that any dispute will be resolved in the courts of [JURISDICTION / VENUE], unless applicable law grants you the right to bring proceedings elsewhere (for example, consumer rights in your country of residence).
Lawyer to confirm the governing-law and venue choice, and whether it is enforceable against consumers in the UK/EU and other markets where users can sign up.
